The transaction follows a definitive share purchase agreement previously executed on Sept. 9. Under the financial terms of the agreement, Zenta Group paid HKD 10 million in cash and issued 12,278,340 Class A ordinary shares to ZentoAI’s selling shareholders.

The share issuance expands Zenta Group’s equity base, bringing its post-closing share count to 24,087,179 total ordinary shares issued and outstanding, consisting of 17,719,499 Class A ordinary shares and 6,367,680 Class B ordinary shares.
