Vertiv Holdings Co (NYSE:VRT) on Wednesday said its wholly owned subsidiary plans to acquire Utility Innovation Holdings.

The consideration includes approximately $1.45 billion in cash at closing, plus up to $1.15 billion based on EBITDA targets over 12- and 24-month periods.

The upfront price represents about 13x expected UIG 2027 EBITDA, with a significantly lower multiple if the full earnout is paid.

Vertiv expects the deal to be accretive to adjusted EPS in the first year after completion.

The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and customary closing conditions.

Vertiv ended the quarter with $5.6 billion in liquidity and a net cash position.

Strategically, the acquisition expands Vertiv upstream to the grid interconnect, adding microgrid controls, onsite generation and energy-storage orchestration, and behind-the-meter power architecture to help data centers secure power faster as grid constraints increasingly limit AI infrastructure deployment.
