Mangoceuticals, Inc. (NASDAQ:MGRX) shares fell 12.24% to $0.42 in after-hours trading Thursday after the company announced its former subsidiary secured a $2.5 million strategic investment.
Mangoceuticals develops and sells health and wellness products through a telemedicine platform under the MangoRx and PeachesRx brands.
The Subsidiary Investment
MangoRx IP Holdings, LLC, Mangoceuticals’ former wholly-owned subsidiary, entered into subscription agreements with two strategic investors for an aggregate $2.5 million investment and has received the first tranche of $1.75 million, according to a press release. The investors have committed to purchase an aggregate 25% membership interest in MangoRx IP: an initial 17.5% stake for $1.75 million, with the remaining 7.5% stake for $750,000 due within 60 days, or by Nov. 28, 2026.
The investment is structured at the subsidiary level and does not involve issuing any Mangoceuticals common stock, warrants or other securities, meaning it does not increase the company’s outstanding share count.
“We believe that this investment represents an important validation of the value we have built within MangoRx IP Holdings and provides us with additional capital to advance the next phase of commercialization, without issuing a single share of MGRX common stock,” said Jacob Cohen, founder and CEO of Mangoceuticals.
MangoRx IP owns the patent portfolio behind MGX-0024, the company’s antiviral technology, protected under U.S. Patent No. 11,517,523, with corresponding patents granted or pending in the EU, Canada, China, India, Australia and Japan.
