Axon Enterprise, Inc. (NASDAQ:AXON) on Wednesday priced an offering of $1 billion aggregate principal amount of 0% convertible senior notes due 2031.

Underwriters also have an 11-day option, beginning on the first issuance date, to buy up to an additional $150.0 million of notes solely to cover over-allotments.

The company expects to generate approximately $986.0 million in net proceeds for Axon after underwriting discounts and estimated offering expenses, or approximately $1.13 billion if the over-allotment option is exercised in full.

Axon plans to use a portion of the proceeds to fund capped call transactions designed to reduce potential dilution, with the remainder earmarked for general corporate purposes, including supporting growth and potential acquisitions or investments in other businesses.

The transaction is expected to settle on September 18, 2026, subject to customary closing conditions.
