Axon Enterprise Inc. (NASDAQ:AXON) shares are trading lower Tuesday after the company announced a proposed offering of $1.0 billion in convertible senior notes.

A $1 Billion Note Sale to Fund Growth
Axon intends to offer $1.0 billion aggregate principal amount of 0% convertible senior notes due 2031, with underwriters holding an option to purchase up to an additional $150.0 million to cover over-allotments. Axon plans to use a portion of the proceeds to fund capped call transactions designed to reduce potential dilution, with the remainder earmarked for general corporate purposes, including supporting growth and potential acquisitions or investments in other businesses. Goldman Sachs, Morgan Stanley, J.P. Morgan Securities, RBC Capital Markets and Citigroup are serving as joint lead book-running managers for the offering.
Axon Trades Below Its Short-Term Averages, Above Its 200-Day
From a longer-term chart perspective, Axon is still trying to stabilize after a deep 12-month drawdown of 35.57%, and the current price is sitting in a tricky spot: it’s trading 15.4% below both the 20-day and 50-day SMAs, which tells you recent rebounds haven’t been strong enough to reclaim the near-term trend.
At the same time, the stock is only 4.5% below the 100-day SMA and 5.9% below the 200-day SMA, so it’s not “broken” on a multi-month basis—but it is stuck beneath the levels that often act as overhead supply when sentiment is cautious.
MACD is the cleaner momentum read right now: it’s below its signal line and the histogram is negative, which points to fading upside pressure versus the prior upswing unless buyers can push the stock back into a stronger trend phase. In plain English, MACD compares two moving averages, and being below the signal line usually means momentum is cooling rather than building.
The bigger-picture backdrop is mixed: the golden cross in August (50-day SMA above the 200-day SMA) is still a constructive longer-term feature, but price action has not followed through, especially after the recent swing high in July and the break below support in May.

- Key Support: $402.00 — a prior demand area that sits well above the $339.01 52-week low, making it a key “line in the sand” if selling pressure accelerates.
