Mixed Martial Arts Group Limited (NYSE:MMA) shares are trading sharply higher Thursday afternoon after completing a $4 million private placement at a premium.

Capital Raise at Major Premium

A Texas-based family office purchased 4,000,000 ordinary shares of the company at $1.00 per share. The purchase price reflects an approximate 160% premium over the stock’s closing price of 38 cents on Wednesday.

Investor reaction appears to be bolstered by the terms of the deal, which consists entirely of common equity. No warrants, options or convertible securities were issued, avoiding potential future share dilution.

Additionally, no broker, placement agent or investment banking commissions were paid in connection with the transaction, allowing the company to receive the full $4 million in capital.

The company plans to use the net proceeds for general working capital, supporting its ongoing strategic expansion and enhancing financial flexibility.

Executive Commentary

Nick Langton, Founder and Chief Executive Officer of MMA.INC, emphasized the significance of the transaction for the company’s financial positioning.

“This is an exceptionally important financing for MMA because of the price, structure and source of the capital,” said Langton. “$4 million has now been received at $1.00 per share, approximately 160% above our August 19 market close, through common equity with no warrants or convertible securities and no placement agent commissions.”
