Nebius Group N.V. (NASDAQ:NBIS) stock gained nearly 7% in Tuesday’s premarket trading after NVIDIA Corp. (NASDAQ:NVDA) disclosed a passive stake in the AI cloud infrastructure company.
Nvidia Stake Lifts Sentiment
Nebius stock gained after an SEC filing showed NVIDIA reported beneficial ownership of 22.26 million Class A ordinary shares, representing 9.3% of the class.
The position includes 1.19 million shares previously reported in NVIDIA’s Form 13F for the quarter ended March 31, 2026, along with 21.07 million shares issuable through a pre-funded warrant acquired on March 11, 2026.
Nebius is a vertically integrated cloud provider focused on AI and high-performance computing, and it designs and operates its own data centers and servers across Europe and the U.S. with total capacity of several hundred megawatts.
Warrant Terms Draw Focus
NVIDIA cannot exercise the warrant before September 11, 2026, and cannot sell the shares underlying the warrant before that date. The filing also notes that the warrant may be exercisable within 60 days of July 13 under SEC beneficial ownership rules.
The disclosure renewed focus on NVIDIA’s strategic relationship with Nebius, including the $2 billion investment announced in March.
Debt Deal Eases Dilution Concerns
Investor sentiment also improved after Nebius closed a $775 million senior secured debt facility.
The financing helped ease concerns about potential equity dilution as Nebius continues expanding its AI infrastructure.
Technical Analysis
From a longer-term trend view, NBIS is still holding a bullish structure with the 50-day SMA above the 200-day SMA, and the stock remains well above its 200-day SMA ($138.21) and 200-day EMA ($149.29).
That said, the current price is trading 13.8% below both the 20-day SMA ($224.72) and 50-day SMA ($224.58), which frames the premarket bounce as a potential “mean reversion” attempt back toward those nearer-term trend lines.
