The move comes as V3 Holding Ltd., Bitfury Group Ltd. and Bitfury Top HoldCo B.V. disclosed that Top HoldCo settled the first of three tranches of a variable prepaid forward contract.
Top HoldCo is based in the Netherlands and is wholly owned by Bitfury Group. It is a shareholder in Cipher, not an operating unit of the company.
According to a Wednesday Securities and Exchange Commission filing, Top HoldCo entered the contract on Nov. 14, 2025, with an unaffiliated dealer. It received $94.6 million in cash and pledged 5.52 million shares to secure its obligations. It retained voting and economic rights in those shares during the pledge.
The contract requires delivery of up to 1.84 million shares per tranche. The Oct. 2 settlement price, a volume-weighted average, was $15.87, below the $21.4439 floor price. Top HoldCo therefore delivered the full 1.84 million shares on Monday.
Large Stakes Remain
A separate SEC filing shows Top HoldCo holds 25.6 million shares, or 6.2%. V3 Holding and Valerijs Vavilovs report beneficial ownership of 54.7 million shares, or 13.2%, which includes Top HoldCo’s stake. Both percentages are based on 415.03 million shares outstanding.
The filing also shows V3 settled the first tranche of a separate forward contract with an unaffiliated dealer on Sept. 28. It delivered 1.805 million shares at a $17.83 settlement price.
Two tranches remain under Top HoldCo’s contract, with maturity dates of Oct. 30 and Dec. 7.

Cipher Digital has a market capitalization of $6.04 billion, a 52-week high of $30.14 and a 52-week low of $11.72.
