SharonAI Holdings, Inc. (NASDAQ:SHAZ) shares are trading lower by more than 5% on Thursday. The stock is likely down on profit-taking and continued stock volatility. The stock fell on Sept. 23, Sept. 25 and Sept. 28 before recovering modestly on Sept. 29-30.

Separately, today, the company secured its first $356 million committed senior secured, GPU-backed SPV debt facility at a fixed rate of 9.95%, excluding fees.

GPU-Backed Debt Facility Update

The facility is backed by GPUs and related cash flows and includes Australian, Asian and global investors, including Goldman Sachs and select private credit funds.

It is expected to support the planned deployment of more than 68,000 Nvidia GPUs by mid-2027.

The transaction brings Sharon AI’s total institutional debt and equity capital secured over the past 10 months to more than $2.6 billion.

The company said the funding will support its AI infrastructure expansion across Australia, New Zealand and the broader Asia-Pacific region.

The facility will fund GPU deployments supported by customer contracts with total contract value of more than $8.8 billion.

Sharon AI said the financing structure is intended to improve returns on equity as it scales its platform for hyperscalers, AI-native companies, government, enterprise and research customers.

Collaborated with VAST Data 

This month, SharonAI disclosed a collaboration with VAST Data to integrate VAST DataEnclave, a new confidential AI capability of the VAST DataEngine, into Sharon AI’s AI Factory platform across Australia and the Asia-Pacific region.

As part of the partnership, Sharon AI will integrate VAST DataEnclave into its AI Factory platform, allowing customers to run advanced AI models locally through a hardware-isolated environment with cryptographic attestation.

The setup is designed to keep customer data and AI model weights protected while processing models onshore.

SharonAI Holdings is a neocloud operator built to support AI and high-performance computing workloads, with infrastructure designed for demanding training and inference needs. That makes financing and deployment cadence especially important, because the business is capital-intensive and closely tied to securing customer contracts and then standing up compute capacity. The new GPU-backed debt facility fits that model by aiming to fund additional infrastructure tied to those contracts, even as the chart suggests the market wants clearer proof of execution before re-rating the stock.
