Preferred Stock Withdrawal and Board Appointment

Throughout September, SDEV finalized several foundational corporate updates to clean up its capital structure and integrate institutional crypto partners. On September 2, the company filed Certificates of Withdrawal for its Series A through Series F preferred stock designations, eliminating complex legacy preferred classes to open up 5,000,000 preferred shares for future flexibility.

Additionally on September 2, SDEV appointed David Garcia Rios as a Class II director with a term extending through the 2027 annual meeting. Garcia Rios joined the board as the designated nominee of the Sky Frontier Foundation under an Investors’ Rights Agreement tied to a $16 million pre-funded warrant purchase, part of a broader $134 million institutional warrant transaction.

Amended S-3 Filing Reveals 2.31 Billion SKY Token Treasury

On September 16, SDEV filed an amended S-3 shelf registration statement covering the resale of up to 212.9 million common shares tied to its Sky Protocol warrant agreements.

The filing revealed that SDEV expanded its treasury holdings to approximately 2,314,948,613 SKY tokens as of mid-September, representing roughly 10% of the token’s total circulating supply, directly linking the firm’s balance sheet valuation to decentralized finance protocol rewards.
