Solidion Technology, Inc. (NASDAQ:STI) shares rose on Monday after the battery technology company disclosed share purchases by its chairman and CEO, CFO and a board member.

The gain came despite the Industrials sector falling about 0.4%. The S&P 500 rose 0.9%, while the Nasdaq gained 1.69%.

Solidion Insiders Increase Holdings

Chairman and CEO Jaymes Winters purchased 984 shares at $7.11 per share, increasing his holding to 4,709 shares, or 0.05% of the issued share capital.

CFO Vlad Prantsevich bought 1,030 shares at $7.13 per share, bringing his total holding to 3,455 shares, or 0.04%.

Board member Karin-Joyce Tjon made the largest purchase, acquiring 5,000 shares at $7.20 each. Tjon now owns 17,853 shares, representing 0.20% of issued share capital.

The insider purchases provide investors with a fresh, company-specific catalyst, while the stock outperforms the weaker Industrials sector.

Solidion Reshapes Board Leadership

The purchases follow recent changes to Solidion’s board structure.

Effective Sept. 16, the board appointed Winters as chairman while he continues serving as CEO, combining the two roles.

The company said the structure is designed to better align its strategic direction, governance and business operations.

Former Chairman Dr. Bor Jang remains a director. Solidion also appointed Schwartz as lead independent director, effective Sept. 16, to maintain independent oversight under the combined chairman and CEO structure.

Solidion Authorizes $1 Million Buyback

Recently, Solidion’s board authorized a stock repurchase program of up to $1 million on Sept. 14, with the program effective Sept. 13. It will run until the authorized amount is repurchased, March 14, 2028, or the board terminates it earlier.

CEO Jaymes Winters said the authorization reflects confidence in Solidion’s long-term prospects and gives the company flexibility to repurchase shares when market conditions present an attractive opportunity.

STI Momentum Remains Neutral

The Benzinga Edge scorecard gives Solidion a Momentum score of 51.12, placing the stock near the middle of the market rather than signaling a strong trend in either direction.
